Co-operative Associations - Forms
There are no prescribed forms under the Co-operative Associations Act. However, that is not to say that there are not required filings:
Memorandum of Association: For those who wish to incorporate a new co-operative, a memorandum of association with the information required by section 3(2) of the Co-operative Associations Act must be prepared for the approval of the Supervisor of Co-operative Associations.
Bylaws: For those who wish to incorporate a new co-operative, bylaws must be submitted with the memorandum of association. Standard bylaws are available in the Co-operative Associations Standard By-laws Regulation (PDF)
Financial Statements: Section 31(3)(b) of the Co-operative Associations Act requires financial statements certified by the auditors to be filed with the Supervisor of Co-operative Associations within 90 days after the end of each fiscal year.
General Statement of the Affairs of the Association ("Annual Return"): Section 31(3)(a) of the Co-operative Associations Act requires a general statement of the affairs of the association in the form and including the details required by the Supervisor to be filed with the financial statements. The Department of Industry, Tourism and Investment suggest the use of this Annual Return Form. For more details, contact the Supervisor of Co-operative Associations.
Please note that all filings are sent to the Supervisor of Co-operative Associations for approval before being forwarded to corporate registries, except for Annual Returns, which are the sole responsibility of the Supervisor of Co-operative Associations and copies are not filed on the Legal Registries files.
